Terms of Use

Welcome to Prompt Central. Please read these Terms of Service (“Terms”, “ToS”) carefully before using our website, downloading our command line interface (CLI) tools, or purchasing and operating our on-premises web application binary. By interacting with our software, services, or web infrastructure, you agree to be bound by these Terms.

1. License Grant & Tiers

We provide software under an “Open Core” framework across three specific operational tiers. Your rights to use, copy, or execute the software are strictly bounded by the tier you hold:

  • Personal Tier ($0 / Free): Granted strictly as a non-commercial, personal license for local experimentation, development, and testing. You receive full access to the core standalone command line utility (template) running entirely on local terminal workflows. This tier grants no rights to use the software in commercial revenue-generating pipelines and places some limits the on-premises web application interface.

  • Professional Tier ($95): Granted as a per-engineer, perpetual commercial license authorizing individual business use and integration into client pipelines. This tier includes access to the command line utilities alongside permission to run a single active instance of the Prompt Central web application binary.

  • Commercial Tier ($495): Granted as a full corporate license for multi-user engineering environments and teams requiring centralized orchestration. This tier includes all features of the core toolkit and unlocks the web application to support unlimited parallel package indexing and automation REST API endpoints.

2. Acceptable Use & Restrictions

Because Prompt Central relies on a single-file compiled executable running locally or inside a Docker environment, the software runs physically on system hardware outside our direct perimeter control. You explicitly agree that you and any users under your direction will not:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code of any compiled binary suite, form-rendering mechanism, or compilation automation logic.

  • Bypass, crack, deactivate, or modify the software’s local license key verification mechanics or physical enforcement boundaries.

  • Direct automated scripts or manual database modifications to tamper with the internal SQLite database tracking layers, including any actions meant to circumvent the 100-prompt evaluation execution cap, scale configurations, package limits, or operational locks.

  • Share, lease, or distribute a single-user license key across an aggregated network of decentralized organizational nodes to bypass team or enterprise licensing requirements.

  • Scrape the web application, redistribute without written authorization, or leverage the software to build a competitive multi-tenant SaaS hosting layer.

3. Ownership of Intellectual Property

  • Our Core Technology: We retain all right, title, and intellectual property ownership in and to the software ecosystem, including the program executables, the dynamic web-form rendering layout engine, and all source materials.

  • Your Proprietary Data: You retain exclusive ownership, responsibility, and intellectual property rights over all raw configuration data, text variables, template definitions, front-matter YAML headers, custom Markdown files, and prompt layouts that you or your team create, structure, and package using the software.

4. Maintenance, Updates, & License Lifecycle

  • Perpetual + Maintenance Model: Paid tiers are delivered via a perpetual license coupled with an optional annual maintenance agreement. Initial procurement grants you permanent rights to run the downloaded or purchased binary version in perpetuity.

  • Lapse of Maintenance: Access to newer binary updates, feature revisions, optimization adjustments, and standard technical patch releases requires an active annual maintenance subscription. If you choose to stop paying the annual maintenance renewal fee, your software license remains operational under a perpetual state, but you forfeit the right to fetch subsequent platform versions, newer binary releases, and active security maintenance patches.

5. API Costs & Third-Party LLM Liability Shield

  • User Key Requirement: The software acts as a local orchestrator and formatting layer that submits structured configurations directly to online or local Large Language Models (LLMs). Execution requires the injection of your own proprietary API authentication keys or the management of your independent infrastructure backends.

  • Financial Limitation: You are strictly and solely responsible for all financial obligations, transaction fees, usage metrics, and token costs incurred with third-party LLM vendors or inference providers. Prompt Central shall not be held liable for any unexpected API spend, financial waste, or billing spikes caused by automation loops, operational configurations, debugging processes, or pipeline deployment failures.

  • Output Drift Disclaimer: We have no control over the logic, availability, performance changes, or correctness of third-party inference models. We accept no liability or responsibility for downstream pipeline disruptions, hallucinated errors, output drift, security data vulnerabilities introduced by external model adjustments, or operational liabilities resulting from model outputs generated through our tools.

6. Disclaimer of Warranties

THE SOFTWARE AND ALL ACCOMPANYING WEB INSIGHTS ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM RIGOR, OPERATIONAL COMPLETENESS, ACCURACY, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. WE DO NOT WARRANT THAT THE OPERATION OF THE LOCAL BINARIES OR WEB FORMS WILL BE UNINTERRUPTED OR COMPLETELY SECURED AGAINST EVERY CONCEIVABLE INFRASTRUCTURE SPEND THRESHOLD. YOUR USE AND OPERATION OF THE ECOSYSTEM REMAIN AT YOUR OWN DISTINCT RISK.
